TERMS AND CONDITIONS

PALAZZO VERSACE HOTEL LLC is offering guests the opportunity to earn rewards by referring friends to try the hotel’s products & services ("REFERRAL Program" or “Program”) which is offered on PALAZZO VERSACE HOTEL LLC website “www.palazzoversace.ae” (“Site”). By using the Site or participating in the Program, users acknowledge that they are bound by these Terms and Conditions (“Terms”).

1. PRIVACY

The personal information collected, processed, and used as part of the Program will be used in accordance with PALAZZO VERSACE HOTEL LLC’s Privacy Statement, which is available by link on the Site.

2. HOW THE PROGRAM WORKS

Users must be an existing/previous guest in good standing and may refer as many people as they wish. Users must visit the Site and follow the on-screen instructions to refer friends, family members or colleagues. Once an individual makes a referral, he/she becomes a “Referrer” and the Referred friends (“Referee”) must complete the referral as described in the referral message. The Referrer and Referee acknowledge that to receive the reward, the Referrer & Referee must join to avail the hotel’s products & services via www.palazzoversace.ae using the Referral code provided.

Referrer may refer a friend through the link available in their member’s account only. No other form of referral will be valid to receive the REFERRAL points. If the person who was referred into the program or has availed the hotel products & services, enrolled in the Program through any other form apart from the one stated above, the REFERRAL points will not be awarded to both the referrer and the referee.

The REFERRAL points will be awarded on the referrer and referee account in 72 hours after a successful materialization of the services.

3. EARNING OPPORTUNITIES
   • A Referrer will earn fifty percentage (50%) of the spend before applicable taxes in REFERRAL points for every 1 U.S. dollar, or the currency equivalent, that is incurred and paid for by the Referee on Qualifying Charges in accordance with Section 3.2

A Referee will earn twenty five (25%) of the spend before applicable taxes as REFERRAL points for every 1 U.S. dollar, or the currency equivalent, that is incurred and paid by Referee on Qualifying Charges in accordance with Section 3.2

• “Qualifying Charges” are:

1. Charges incurred during a stay in a guest room by a Referee on their folio and up to two (2) additional guest rooms with same check-in and check-out dates, including, without limitation, charges for:

1. Qualifying Rates for Stays
2. Extra-person charges on paid stays at a Qualifying Rate
3. Food and beverages and may exclude charges incurred at outlets that are not managed or operated by the hotel

4. Direct-dialed in-room telephone and direct-dialed in-room fax;
5. Spa Service excluding any Retail
6. Event/Conferences/Weddings & Groups are not considered as qualified business to earn referral points

Provided the Referee provides his/her Referral Code at the time of reservation or at check-in, stays in one of the reserved guest rooms, and pays for the charges.

1. Charges incurred by the Referee, without a stay in a guest room, for food and beverage at restaurants located at the hotel that offer this benefit if:

1. The charges are greater than $10 U.S. dollars (excluding taxes, service charges, and gratuities)
2. The food and beverages are not in connection with a banquet, meeting or other function that is excluded from Qualifying Charges as provided in Section 3.2 and so long as the Referee provides their Referral code at the time of payment.
3. Charges from food and beverage outlets managed or operated by a third party may not be eligible for earning points.

• “Non-Qualifying Charges” are:

Charges which do not qualify for Points include any complimentary services, Reward Redemptions (including any cash portion of a Reward Redemption), or any other fees or charges including without limitation:

1. charges for banquets, meetings or other functions, with the exception of Points earned in connection with a Qualifying Event Agreement;
2. other fees paid including, without limitation, parking, business center, and other third-party services
3. room rate related taxes, service charges, gratuities, fees (e.g. late cancellation fee or no-show fees for not checking in for guaranteed reservations even if the reservations were paid in full), mandatory or automatic charges (e.g., Tourism Fee)

• “Qualifying Stay”

A “Stay" or “Qualifying Stay” means all consecutive nights a Referee registers for, and personally pays and stays at the hotel, for which (a) the room is billed to the Referee, or (b) the guest room is direct billed to the company who has arranged payment for the Referee’s stay that is not associated with a convention or group meeting.

1. A “Qualifying Stay” is a stay of one or more consecutive nights at the hotel regardless of check-in and check-out activity by a Referee who: (i) provides his/her Referral Code at the time of reservation or at check-in; (ii) pays a Qualifying Rate or applies a Reward Redemption for the stay; and (ii) stays in one of the reserved guest rooms. Referral and Referee may only earn Points for up to two (2) guest rooms with the same check-in and check-out dates if they stay in one of the reserved guest rooms and pay a Qualifying Rate or apply a Reward Redemption for all of the guest rooms.

1. Only one Referral and one Referee per guest room can earn Points, as well as receive benefits. If there is more than one Referee staying in the same guest room, the Referees must decide upon check-in whose REFERRAL Referee account will be applied to the guest room provided it is the same Referee who will be paying the bill.

• “Qualifying Rate”

A “Qualifying Rate” is the rate a Referee pays for a Stay in a guest room at the hotel which qualifies to earn Points. Qualifying Rates include most business and leisure rates, such as rates found on www.palazzoversace.ae without an application of a discount code, Standard and Premium Retail rates and Advanced Purchase rates. Unless otherwise specifically stated, Referees who are REFERRAL Rewards Members will receive their REFERRAL membership tier benefits during stays on Qualifying Rates.

• “Non-Qualifying Rates”

A “Non-Qualifying Rate” is a rate a Referee pays for a Stay in a guest room at the hotel which does not qualify to earn Points. Non-Qualifying Rates are those booked using the following methods:

1. The guest room was booked through a tour operator, online travel channel or other third-party channel including, without limitation, expedia.com, hotwire.com, priceline.com, orbitz.com, booking.com, travelocity.com; or

1. The guest room was booked at a group rate as part of an event, meeting, conference or organized tour, and the Referee does not directly pay the Participating Property for such room; or

1. The guest room was booked at a tour operator, wholesaler, or crew room rate or package including, without limitation, organized tours or package bookings; or

1. The guest room was complimentary; or

1. A voucher or third-party award was redeemed for the guest room.

4. REWARDS

By making a valid referral, Referrer and Referee will receive REFERRAL points. Unless otherwise stated, rewards have no monetary value and may not be redeemed for cash. REFERRAL points are not transferable and may not be auctioned, traded, bartered or sold. REFERRAL points will be awarded once the Referee is approved and has paid the hotel’s products & services that they have availed using the provided Referral code.

Unless otherwise noted, expiration timelines for REFERRAL points are as follows: Referees must become a member of the Referral Program within 30 days of receipt of an invitation. All REFERRAL points expire 12 months from the award date.

REFERRAL points may only be redeemed via the Site or in person by presenting the Voucher. Once earned, REFERRAL points will appear as REFERRAL points on the member’s account. but you may need to enter a code at checkout to redeem the REFERRAL points.

If for any reason you believe that there is a discrepancy regarding your balance of REFERRAL points, please contact us through Referral@palazzoversace.ae Palazzo Versace Hotel LLC may require you to submit additional information in order to make a determination regarding your balance. All decisions regarding your balance will be final and at Palazzo Versace Hotel LLC’s sole discretion.

5. REWARDS REDEMPTION (GENERAL)

A Referrer or Referee may redeem full or partial Points to obtain various products or services, (each a “Reward Redemption”) including, without limitation, Stays in guest rooms, Moments experiences, and other services. A full listing of current Reward Redemption options is available on the REFERRAL Program website under https://www.palazzoversace.ae/referral-program-new

• Points and Reward Redemptions may not be exchanged or redeemed by a Referrer or Referee for cash, prizes or credit.

• Unless otherwise noted, Reward Redemptions are valid only for use by the Referrer or Referee from whose Account the Reward Redemption was processed and are not transferable.

• Reward Redemptions believed to have been bartered, sold, exchanged, or issued fraudulently, or issued to someone other than the eligible Referrer or Referee, will be void and will not be honored.

6. REWARDS REDEMPTION (STAYS)

Unless otherwise noted, a Referrer or Referee may apply a Reward Redemption for a Stay in a standard guest room at a Participating Property (“Reward Redemption Stay”).

• Subject to Availability. The ability to use a Reward Redemption for a Stay at the hotel is subject to availability at the time of reservation and must be booked through the Palazzo Versace Dubai website (palazzoversace.ae) or via call centre and should be booked in advance at least 1 day prior to arrival date

• Reward Redemption Reservation. When making a reservation for a Reward Redemption Stay, the required Points will be deducted and the Reward Redemption voucher should be presented to avail the services, provided the Referrer or Referee has sufficient Points for the entire stay. In the event the required fail to deduct during the booking process, and the Reward Redemption does not attach to the reservation, the Referrer or Referee should contact REFERRAL Program Support to remediate the reservation. The Referrer or Referee is responsible for ensuring the Referrer or Referee has sufficient Points to cover the entire Reward Redemption Stay. In the event a Referrer or Referee does not have sufficient Points to cover the entire Reward Redemption Stay, the reservation may be cancelled or changed to the best paid rate available. Reward Redemption Stays are valid only for individual travel and are not valid for group travel, package tours, conventions or other special rates and/or package programs.

• Guarantee and Cancellation Policies. The standard guarantee and cancellation policies of the hotel will apply to Reward Redemption Stay reservations including, without limitation, all minimum length of stay requirements, credit card guarantee requirements and charges for late cancellation, no-shows, and early check-out.

If a Referrer or Referee fails to cancel a guaranteed Reward Redemption Stay reservation within the permitted cancellation period, the hotel will charge the applicable cancellation fee against the points used to redeem the Reward Redemption Stay.

• Number of Points Required. The number of Points required per night for a Reward Redemption Stay varies, the room types available at the hotel, length of stay, and may also vary by time of year. Points required per night are updated continuously and may change at any time. If the Referrer or Referee makes a modification to the Reward Redemption Stay, the Referrer or Referee is responsible for the changes to the Points required.

• Reward Redemption Stay Inclusions & Exclusions. The Reward Redemption Stay includes the cost of a guest room (with existing bedding) at the hotel, room tax and service charge. All other charges, including incidentals, Tourism fees, rollways, and other fees, are the responsibility of the Referrer or Referee and are not included in the Reward Redemption Stay.

Extra-person charges for the third, fourth, or more guests in the room are an additional fee and are not included in the Reward Redemption as form of payment.

Referrers or Referees must inform the hotel of the correct number of guests for each reservation, including any extra persons beyond the first and second guest, and the correct ages of any children for each such reservation. The Hotel reserves the right, at its discretion, to modify the room rate a Referrer or Referee must pay for a reservation to reflect the correct guest count, including children, for such reservation.

• Room Preferences Not Guaranteed. With a Reward Redemption Stay, bedding, smoking, and other room preferences may be requested, but are not guaranteed.

• Members will not receive Points for the Reward Redemption Stay portion of their stay.

• Limited Blackout Dates. The Hotel has a “Limited Blackout Dates” policy, which means that, subject to the limitations and exclusions, the Hotel may limit the number of standard rooms available for redemption on a limited number of days.

7. RESTRICTIONS

Referrals cannot refer themselves or create multiple, fictitious or fake accounts with PALAZZO VERSACE HOTEL LLC. To receive REFERRAL points, the Referrer must have a current REFERRAL Program account, and the Referee must join a non-sponsored/non-discounted REFERRAL Program account. In the event the Referrer opts out of receiving emails regarding the Referral Program, the Referrer will no longer be able to receive their REFERRAL points /reward. The REFERRAL points cannot be assigned, transferred, exchanged, or redeemed for cash. REFERRAL points may only be applied toward corresponding rewards provided the hotel (i.e. applies to room charges for a reservation, but not to any incidental charges/other services that was charged to the room, etc). Upon cancellation or termination of REFERRAL Program membership by Referrer, any unused REFERRAL points will automatically expire and may not be transferred, assigned or redeemed for cash. This Program may not be combined with any other coupons or promotions. PALAZZO VERSACE HOTEL LLC reserves the right to terminate the membership of any Referrer or Referee who violates or attempts to violate the Terms and/or these rules and restrictions. In addition, any violation or attempted violation of these rules and restrictions may result in a member losing all REFERRAL points and being charged for any REFERRAL points utilized. REFERRAL points may not be applied to past reservations/service booked and are applicable to new bookings/services only. REFERRAL points cannot be applied to sponsored/discounted memberships. No Referrer or Referee may use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene, or outside the spirit and intent of the Program. In addition, Referral or Referee may not (i) tamper with the Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot or other device or artifice to participate or receive any benefit in the Program. Employees of PALAZZO VERSACE HOTEL LLC or any of its or their subsidiaries, affiliates or promotional agencies are not able to participate. All REFERRAL points are in local currency associated with the hotel.

8. LIABILITY

REFERRAL AND REFEREE UNDERSTAND AND AGREE THAT THE RELEASED PARTIES (DEFINED BELOW) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). By participating in the Program, Referral and/or Referee agree to defend, indemnify, release and hold harmless PALAZZO VERSACE HOTEL LLC, (as the provider of the referral service), and their respective parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the “Released Parties”), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)) and/or the awarding, receipt and/or use or misuse of any benefit in the Program. The Released Parties shall not be liable to any users for failure to supply any reward, by reason of any acts of God, any action or request by any governmental or quasi-governmental entity (whether or not valid), or any other activity or action that is beyond any of the Released Parties’ control.

9. DISCLAIMER OF WARRANTIES

REFERRAL AND REFEREE EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND PALAZZO VERSACE HOTEL LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) THE RELEASED PARTIES MAKE AND GIVE NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PROGRAM WILL MEET EXPECTATIONS, AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

10. BULK DISTRIBUTION (“SPAM”)

Each Referrer is the actual sender of the emails and must comply with applicable law. Referrals must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues, and family members. By submitting any email address as part of the Program, the Referrer represents that he/she has the appropriate permission and consent. Bulk email distribution, distribution to strangers, or any other use of the services described herein in a manner that is not promoted is expressly prohibited and may be grounds for immediate termination and further legal action. PALAZZO VERSACE HOTEL LLC has no obligation to monitor the Program or any communications; however, PALAZZO VERSACE HOTEL LLC may choose to do so and block any email messages, remove any such content, or prohibit any use of the Program. Referrers who do not comply with the law, including anti-spam laws, are obligated to indemnify PALAZZO VERSACE HOTEL LLC against any liabilities, costs and expenses it incurs as a results of such spam.

Referrals should only be used for personal and non-commercial purposes. Referral links should not be published or distributed on commercial websites (such as coupon websites, Reddit, or Wikipedia, etc.) or on blogs.

11. SIGN-IN CREDENTIALS

Users are responsible for maintaining the confidentially of any sign-in credentials and are fully responsible for all activities that occur through their use of them. Users agree to notify PALAZZO VERSACE HOTEL LLC immediately if they suspect unauthorized access to their account. Users agree that PALAZZO VERSACE HOTEL LLC will not be liable for any loss or damage arising from unauthorized use of their credentials.

12. RIGHT TO CANCEL, MODIFY OR TERMINATE

PALAZZO VERSACE HOTEL LLC reserves the right to cancel, modify or terminate the Program at any time for any reason. PALAZZO VERSACE HOTEL LLC reserves the right to disqualify any user of the Program at any time from participation in the Program if he/she does not comply with any of these Terms. All of the decisions of PALAZZO VERSACE HOTEL LLC are final and binding.

13. APPLICABLE LAW

This Program shall be governed by and construed in accordance with the law of the Emirate of Dubai and Federal legislation of the United Arab Emirates without regard to conflicts of laws provisions thereof.

14. PUBLICITY

Participation in the Program and/or acceptance of a REFERRAL points constitutes permission to PALAZZO VERSACE HOTEL LLC to use any Referrer or Referees’ first and last name, company name, profile information, statements, biographical information, and city and state address for any and all promotional or advertising purposes in connection with the Program, on a worldwide basis and in all forms of media without review, permission or further compensation of any amount or kind whatsoever, where permitted by law.
